Terms & Conditions

These Terms govern your use of Omnistra ("we", "us", "our"), including our website, dashboard, APIs, and any messaging channel integrations such as WhatsApp Business Platform and TikTok. By creating an account or using the service, you agree to these Terms.

1. The service

Omnistra provides an AI chatbot and shared inbox that connects to third-party messaging channels (including WhatsApp, Messenger, Instagram, TikTok and your website). You are responsible for the content you send through these channels and for complying with each channel's policies in addition to these Terms.

2. Your account

You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. You must be at least 18 years old (or the age of majority in your jurisdiction) and have authority to bind any organisation you represent.

3. Acceptable use

You will not use Omnistra to send spam, unlawful, deceptive, harassing, or harmful content; to impersonate others; to infringe intellectual property; to scrape or reverse engineer the service; or to bypass rate limits, security, or moderation systems.

4. WhatsApp Business Platform rules

When using Omnistra to send or receive messages via WhatsApp, you additionally agree to comply with Meta's WhatsApp Business Solution Terms, WhatsApp Business Messaging Policy, and WhatsApp Commerce Policy. In particular:
  • You must obtain prior opt-in from each recipient through a clear, third-party disclosed opt-in flow before sending any business-initiated message.
  • You must give recipients a clear way to opt out at any time and stop messaging users who opt out.
  • Outside the 24-hour customer service window, you may only send approved message templates that match an allowed category (Marketing, Utility, or Authentication).
  • You will not use WhatsApp to promote prohibited goods or services (e.g. illegal products, drugs, tobacco, weapons, adult content, gambling where restricted, real-money gambling without authorisation, or any item banned by the WhatsApp Commerce Policy).
  • You will not send unsolicited bulk messages, phishing, scams, or content that could degrade user trust in WhatsApp.
  • You acknowledge Meta may rate-limit, downgrade quality rating, suspend, or ban WhatsApp Business Account numbers that violate its policies, and Omnistra is not liable for such actions.

5. TikTok platform rules

When using Omnistra with TikTok (including TikTok Messaging API, TikTok Shop, or TikTok Ads integrations), you additionally agree to comply with TikTok's Terms of Service, Community Guidelines, Developer Terms of Service, Advertising Policies, and TikTok Shop Seller Terms. In particular:
  • You will not post or send content that violates TikTok's Community Guidelines, including hate speech, harassment, violent or graphic content, misinformation, sexual content, or content endangering minors.
  • You will only message users who have initiated contact or otherwise opted in as allowed by the TikTok Messaging API, and you will respect any reply windows and rate limits imposed by TikTok.
  • You will not use TikTok integrations to send spam, run unauthorised promotions, or impersonate TikTok or any third party.
  • For TikTok Shop, you are responsible for accurate product listings, lawful products, order fulfilment, returns, refunds, and applicable taxes.
  • You will handle TikTok user data only for the purposes authorised by the user and TikTok, will not sell it, and will delete it on request or when no longer needed.
  • You acknowledge TikTok may revoke API access, remove content, or suspend accounts that violate its policies, and Omnistra is not liable for such actions.

6. Other channel rules

When using Messenger, Instagram, SMS, or email channels through Omnistra, you also agree to comply with the applicable platform terms and messaging policies (including Meta's Messenger Platform Policy, Instagram Platform Policy, and applicable SMS/email laws such as TCPA, CAN-SPAM, CASL, and GDPR).

7. Fees and billing

Paid plans are billed in advance on a recurring basis. Conversation, message, and WhatsApp template fees set by Meta or other carriers are passed through. Fees are non-refundable except where required by law.

8. Suspension and termination

We may suspend or terminate your account if you violate these Terms, any channel policy, or applicable law, or if your usage creates risk for Omnistra or other users. You may cancel at any time from your dashboard.

9. Disclaimers and liability

The service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Omnistra's aggregate liability is limited to the fees you paid in the 12 months before the claim. We are not liable for indirect, incidental, special, or consequential damages.

10. Changes

We may update these Terms from time to time. Material changes will be announced via the dashboard or email. Continued use after changes means you accept the updated Terms.
